D2 SOFT OFFER AND SPECIFICATIONS

TO WHOM IT MAY CONCERN
As a direct agent to the mandate, Fortune 500 Funding Corp. has been appointed sole legal authorized representative for many sellers and purchasers of D2 Diesel Fuel effective January 1, 2005 to January 1, 2030. We confirm that the seller is ready, willing and able to supply the following D2 Diesel Fuel commodity under the terms and conditions listed below and prices to be agreed upon between the Buyer and the Seller.
Fortune 500 Funding Corp. is authorized to nominate his own representatives to purchase and sell D2 Diesel Fuel worldwide. If you are interested in being our representative worldwide or in the country of your choice, please contact us.

| Contract Duration: |
Twelve (12) months are rollovers and extensions as agreed upon by both parties.
Extensions up to sixty (60) months is possible. |

By SGS or equivalent Survey company |
| Confirmation: |
The order is confirmed after the Seller receives and accepts the IRREVOCABLE CONFIRMED PURCHASE ORDER (ICPO) or LETTER OF INTENT (LOI) & RWA BANK CONFIRMATION LETTER (BCL) from the Buyers bank. BCL must be signed by a Bank Officer on Bank Letterhead, and sent to the Seller. ICPO or LOI with full banking info and soft probe authorization (SPA) may be acceptable. |

Permit to Import, signed End User Allocation and Import License from the authorities to enter the Terminal. Other to be determined during negotiation. |
| Price (Fixed): |
Price Sheet will be sent to Buyer upon BCL and Soft Probe verification. |
| Terms of Delivery: |
On contracts after initial allocation, additional allocation would ramp up through separate contracts of up to five million MT. |
| Performance Bond: |
The Seller will issue a 2% (two percent) Performance Bond of one Monthly Lot delivery in favor of the Buyer as per the terms of the contract. The Performance Bond will be issued based on INCOTERM ICC 500. |
PROCEDURES

Buyer issues ICPO a copy to seller by email attachment and the original by Swift to seller’s Bank. (Buyer’s Bank may issue in bank letterhead that client is Ready, Willing and Financial Able (RWFA Swift MT799). The RWFA must be Bank Commitment (TOP 25 BANKS) and responsibility.

Seller approves ICPO & RWFA. On approval of ICPO. Seller issues a Draft Contract.

MFPA will be completed by representatives of Buyer and Seller.

Buyer Signs, Seals and returns Contract to Seller who countersigns, seals and return a copy of the document to the buyer. Both parties lodge a copy of the contract with their respective Bank.

Seller’s Bank issues confirmation of the POP to buyer’s Bank.

Within 2 International banking days, Buyer’s bank issues conditional payment order MT103/23 (steps 6 and 7 should be basically simultaneous).

Seller presents full set of POP documents and Ownership title at counters of Buyer’s Bank.

Upon receiving the ownership title and pertaining documents Buyer’s bank pay for 100% of the value of the commodity by SWIFT wire transfer (MT103) directly to the Seller’s designated bank account within 24 hours (this would be on the spot).

Lifting of the D2 commences.
